Partner Agreement

Article 1 — Parties
This agreement is entered into between:

And the Partner: the natural person or legal entity who completes the signup form at alvoru.com/partners and has been approved in writing by Alvoru as a participant in the affiliate program.
Article 2 — Nature of the agreement
2.1 This agreement concerns an independent working relationship. The Partner is not an employee, agent or business partner of Alvoru. There is no relationship of authority, no employment contract and no entitlement to social-security insurance through Alvoru.
2.2 The Partner acts entirely on their own behalf, in their own name and at their own risk. Alvoru and the Partner are not liable to each other for one another's contractual obligations towards third parties.
2.3 The Partner is responsible for their own tax obligations, including VAT and income tax, arising from commission income. Alvoru will provide an annual statement on request.
Article 3 — Partner's activities
3.1 The Partner refers small businesses to Alvoru via their personal partner code and/or referral link (structured as: alvoru.com/signup?ref=CODE).
3.2 The Partner is responsible for promotion through their own channels (website, network, social media, etc.) and bears the associated costs.
3.3 In every promotional communication, the Partner must clearly state that it concerns a commercial partner relationship ("affiliate link" or equivalent wording), in line with applicable advertising codes and consumer-authority transparency guidelines.
3.4 When the Partner uses marketing material provided by Alvoru (banners, social-media posts, text templates), the Partner must include the text "This is a paid partnership with Alvoru." in full and visibly in every promotional communication. This disclosure text may not be altered, removed or hidden. A breach constitutes a material default that entitles Alvoru to terminate the partnership immediately without payment of outstanding commission.
3.5 Text templates offered via the partner portal already contain the required disclosure. The Partner is responsible for checking that the disclosure is visible and legible in the final promotional communication.
Article 4 — Compensation
One-off commission per referred customer who takes out an active paid Alvoru subscription and completes the first subscription payment — €10 for Starter, €25 for Growth, €50 for Pro.
4.1 The Partner receives a one-off commission (excl. any VAT liability) per Referred customer, depending on the paid plan chosen by the customer: €10 for Starter, €25 for Growth and €50 for Pro. The commission applies solely to customers with a paid subscription; customers on the free plan give no entitlement to commission. The commission amount is the same, whether the customer pays monthly or annually.
4.2 Commission is only payable if all of the following conditions are met:
- The customer has taken out a paid subscription (Starter, Growth or Pro) ; signups on the free plan give no entitlement to commission;
- The customer signed up via the Partner's personal partner code or referral link;
- The customer has completed their first subscription payment;
- The customer has not cancelled their subscription within the 14-day satisfaction guarantee;
- The customer has not exercised the 14-day right of withdrawal.
⚠️ No code = no commission. Customers who sign up without using your partner code or referral link are not attributed to you. Always share your link or code explicitly with every referral. Adding it afterwards is not possible.
4.3 Commission is calculated solely on subscription fees, not on one-off setup costs, custom services or other charges.
4.4 Alvoru reserves the right to adjust the commission amount with at least 30 days' notice by email. Already-approved commissions will not be adjusted.
4.5 There is no minimum number of referrals — a single valid conversion is enough for payout.
Article 5 — Payout
5.1 Alvoru pays out the commission automatically to the IBAN provided by the Partner. The Partner does not need to submit an invoice.
5.2 Payout takes place within 14 days after the Referred customer has completed their first subscription payment and the commission has been validated by Alvoru.
5.3 The Partner receives a payment confirmation by email.
5.4 There is no minimum payout amount: every approved commission is paid out in full to the provided IBAN.
5.5 The Partner is responsible for providing a correct IBAN. Alvoru is not liable for failed payments due to an incorrect IBAN.
5.6 Alvoru is entitled to suspend payout in the event of a reasonable suspicion of fraud, misuse or breach of this agreement.
Article 6 — No relationship of authority / independence
6.1 The Partner carries out activities entirely independently and receives no instructions from Alvoru regarding the manner of performance, working hours or obligation of result.
6.2 The Partner is free to work for other clients or partners at the same time, provided this does not conflict with the obligations in this agreement.
6.3 Alvoru does not provide the Partner with materials, tools or facilities for carrying out the activities.
6.4 Alvoru provides the Partner with a digital portal to monitor the progress of referrals and commissions. This portal is intended solely for information purposes and does not count as a business asset within the meaning of this article.
Article 7 — Partner's own responsibility
7.1 The Partner is fully responsible for their own promotional communications and for complying with the applicable laws and regulations therein (consumer authority, advertising codes, GDPR).
7.2 The Partner may not make misleading claims about Alvoru products, results or guarantees.
7.3 The Partner is not permitted to:
- advertise via paid search (SEA) on Alvoru brand names or domains, unless permitted in writing;
- send spam or unsolicited messages to promote Alvoru;
- register themselves as a Referred customer (self-referral);
- generate false or fake referrals.
7.4 The Partner treats all information about Alvoru, its customers and operations as strictly confidential.
Article 8 — GDPR and privacy obligations
8.1 The Partner processes personal data of potential customers solely for the purpose of referral to Alvoru, on the basis of a valid legal ground for processing and in line with the General Data Protection Regulation (GDPR).
8.2 The Partner takes appropriate technical and organizational measures to secure personal data and does not share it with third parties outside the scope of this agreement.
8.3 In the event of a data breach involving personal data within the scope of this partnership, the Partner reports this to Alvoru as soon as possible, and no later than within 24 hours, via info@alvoru.com.
Article 9 — Liability
9.1 Alvoru is not liable for indirect damage, consequential damage or lost profits of the Partner as a result of failing to fulfil this agreement, unless there is intent or gross negligence on Alvoru's part.
9.2 Alvoru's total liability under this agreement is in all cases limited to the amount of commission paid to the Partner in the three months preceding the claim.
9.3 The Partner indemnifies Alvoru against all damage, claims and costs arising from unlawful or misleading promotional activities by the Partner.
Article 10 — Term and termination
10.1 This agreement takes effect on the date Alvoru confirms the Partner's signup in writing and applies for an indefinite period.
10.2 Both parties may terminate the agreement without notice (through the end of the paid period) by email to info@alvoru.com.
10.3 Alvoru may terminate the agreement with immediate effect in the event of:
- breach of any provision of this agreement;
- fraud, misuse or misleading promotion;
- actions that damage Alvoru's reputation.
10.4 After termination, the Partner is entitled to already-approved commissions (activation date before the termination date) that have not yet been paid out. New referrals after termination give no entitlement to commission.
10.5 After termination, the Partner loses the right to use the referral link and Alvoru brand material.
Article 11 — Other provisions
11.1 This agreement is governed exclusively by Dutch law Dutch law.
11.2 Disputes are submitted to the competent court of the District Court of Oost-Brabant, 's-Hertogenbosch location.
11.3 Alvoru is entitled to amend this agreement unilaterally. Changes are announced by email at least 30 days in advance. Continued participation after the change takes effect constitutes acceptance.
11.4 The invalidity or voidability of any provision does not affect the remaining provisions.
11.5 This partner agreement is also subject to Alvoru's Terms & Conditions . In the event of a conflict, this partner agreement prevails.
Article 12 — Sector exclusion
12.1 The Partner may not refer customers active in sectors that Alvoru excludes on the basis of its business policy, namely:
a) Production and/or sale of alcohol or tobacco (including liquor stores, breweries, distilleries, cafés, pubs, bars, nightclubs and discos);
b) Games of chance, gambling, betting, casinos, and lotteries;
c) Interest-based financial products (conventional banking, loans, mortgages, conventional insurance);
d) Adult content, escort services, and dating platforms;
e) Sale of non-halal meat as a core activity;
f) Coffee shops and the sale of narcotics.
12.2 Signups referred by the Partner from these sectors will be refused by Alvoru. No entitlement to commission arises. In the event of repeated violation, Alvoru may terminate the partner agreement immediately.
12.3 In case of doubt about suitability, Alvoru reserves the right not to accept the referred customer. This policy applies without distinction as to religion, race or belief and constitutes a commercial choice by Alvoru.
Article 13 — Cookie tracking and privacy
Alvoru uses a first-party tracking cookie (lifespan: 30 days) to attribute conversions to the correct partner. The cookie contains only an anonymous partner ID and no personal data. Partners are responsible for informing referred visitors about this tracking mechanism in their own privacy policy, in line with GDPR art. 13. Alvoru processes only the IP address in anonymized form (last octet removed) for fraud detection.
